Uganda’s Private Equity (PE) ecosystem is emerging to fill the access to capital gap, which has for a long time, affected innovation and growth stage enterprises. As such, the regulatory landscape is a strong pillar in the development of the ecosystem with the Capital Markets Authority (CMA) being the regulator of all players in public and private securities.
This guidance note will be premised on private capital markets, specifically the private equity funds. Private equity funds are investment vehicles under private capital markets utilised by individuals or institutional investors to invest capital through equity transactions, debt or hybrid transactions with equity-like and debt-like characteristics. The guidance note also focuses on private equity fund managers, vehicles that are set up by qualified investment professionals to manage private equity funds on behalf of the investors of the fund. It analyses the registration and regulation of fund managers and provides a comprehensive
analysis of all viable structures that can be explored to set up such vehicles.
